What an NDA actually protects
A non-disclosure agreement (NDA) is a contract in which one or both parties promise to keep specified information confidential. Businesses use NDAs before pitching investors, hiring contractors, exploring partnerships, or sharing product plans with vendors — any moment when a conversation requires revealing something you'd rather competitors not read about. The agreement defines what counts as confidential, what the receiving party may and may not do with it, and how long the obligation lasts.
One-way or mutual?
A unilateral NDA protects one discloser — typical when a company shares plans with a contractor. A mutual NDA covers both sides, which fits partnership talks where each party reveals sensitive information. This template supports either arrangement; choose based on who will actually be disclosing. Also look closely at the definition of confidential information (too narrow protects nothing; absurdly broad may be unenforceable), the standard exclusions (publicly known information, independently developed work), and the term of the obligation.
